Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using JamiiFlow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. JamiiFlow is operated by JamiiFlow ("we," "us," or "our"). These Terms constitute a legally binding agreement between you and JamiiFlow.

2. Eligibility

You must be at least 18 years of age to use JamiiFlow. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

• You may register using an email address and password, or through Google Sign-In.
• You must provide accurate, current, and complete information during registration and keep your account information up to date.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that contain inaccurate or misleading information.

4. Use of the Service

JamiiFlow provides a private business networking platform that allows users to:

• Create and manage business profiles with contact information, images, and social media links.
• List and discover products in a marketplace.
• Post and apply for job opportunities.
• Join and create jamii network (private groups) to connect with other businesses and users.
• Send and receive direct messages with other users.
• Boost businesses and products for increased visibility through paid promotions.
• Save favourite products for later reference.
• Submit feedback and report content that violates our policies.

5. User Content

5.1 Ownership

You retain ownership of all content you submit, post, or display on JamiiFlow, including but not limited to business listings, product listings, job postings, images, videos, messages, and application materials ("User Content").

5.2 License Grant

By submitting User Content, you grant JamiiFlow a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute your User Content solely for the purpose of operating, promoting, and improving the Service. This license ends when you delete your User Content or your account, except where your content has been shared with others and they have not deleted it.

5.3 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that you own or have the necessary rights to post your User Content and that it does not violate any third party's rights.

6. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Post false, misleading, or fraudulent business listings, product listings, or job postings.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Harass, abuse, threaten, or intimidate other users through messages or any other feature.
• Post content that is defamatory, obscene, hateful, discriminatory, or otherwise objectionable.
• Upload viruses, malware, or any other harmful code.
• Attempt to gain unauthorized access to other users' accounts or any part of the Service.
• Scrape, crawl, or use automated means to access the Service without our prior written consent.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Use the Service to send spam, unsolicited messages, or bulk communications.
• Create multiple accounts for deceptive or abusive purposes.
• Circumvent any content moderation or security measures.
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service.
• Modify, adapt, translate, or create derivative works from the Service or its software.
• Remove, alter, or obscure any copyright, trademark, or proprietary notices.
• Use any data mining, robots, or similar data gathering and extraction tools.

7. Jamii Network

• Jamii Network are private groups that users can create or join to connect with businesses and other users.
• Jamii Network creators are responsible for managing their jamii network and ensuring members comply with these Terms.
• We reserve the right to remove or restrict jamii network that violate these Terms or are used for unlawful purposes.
• Joining an jamii network may require approval from the jamii network creator or administrators.

8. Payments and Boosts

• JamiiFlow offers paid boost features that increase the visibility of businesses and products on the platform.
• All payments are processed securely through Paystack in Kenyan Shillings (KES).
• Boost durations and pricing are displayed at the time of purchase. By completing a payment, you agree to the stated price and duration.
• All payments are final and non-refundable, except where required by applicable law or at our sole discretion.
• We reserve the right to modify boost pricing and durations at any time. Changes will not affect active boosts.
• We are not responsible for any issues arising from payment processing by Paystack. Please refer to Paystack's terms and privacy policy for payment-related matters.

9. Job Postings and Applications

• Job posters are solely responsible for the accuracy and legality of their job listings.
• JamiiFlow does not guarantee employment or verify the legitimacy of job postings. Users should exercise their own judgment when applying for jobs.
• Job applicants consent to sharing their application materials (name, contact information, resume, cover letter) with the job poster.
• Job posters must comply with all applicable employment and anti-discrimination laws.
• We reserve the right to remove job postings that violate these Terms or applicable laws.

10. Messaging

• The messaging feature is provided for legitimate business communication and networking purposes.
• You must not use messaging to send spam, unsolicited commercial messages, harassment, or any content that violates these Terms.
• We reserve the right to monitor messages for safety and compliance purposes, and to take action against users who misuse the messaging feature.

11. Content Moderation and Reporting

• We reserve the right to review, moderate, and remove any User Content that violates these Terms, at our sole discretion and without prior notice.
• Users can report businesses, products, jamii network, and gallery content that they believe violates our policies.
• We will review reports and take appropriate action, which may include content removal, warnings, or account suspension/termination.
• Repeated violations may result in permanent account banning.
• We are not obligated to monitor all User Content but reserve the right to do so.

12. Account Suspension and Termination

• We may suspend or terminate your account at any time, with or without cause, and with or without notice, if we believe you have violated these Terms.
• Banned users will be notified of the reason for their ban where practicable.
• You may delete your own account at any time through the Settings page. Account deletion is permanent and cannot be undone.
• Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will continue to apply.

13. Intellectual Property

13.1 Ownership

The Service, including its design, features, code, logos, trademarks, and all content created by JamiiFlow (excluding User Content), is owned by JamiiFlow and protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

13.2 Source Code and Software Protection

The software, source code, object code, algorithms, architecture, and technical documentation underlying the Service constitute valuable trade secrets and proprietary information of JamiiFlow. You acknowledge that you have no right, title, or interest in or to the source code or any derivative works thereof.

13.3 Prohibition on Reverse Engineering

You are strictly prohibited from engaging in any of the following activities:

• Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code, underlying ideas, algorithms, or structure of the Service.
• Decoding, decrypting, or extracting data from the application or its communication protocols.
• Creating derivative works based on the Service or any part thereof.
• Modifying, adapting, translating, or creating variations of the Service.
• Circumventing, disabling, or interfering with security features or access controls.
• Using debugging tools, code analyzers, or similar tools to examine the internal workings of the Service.
• Distributing, publishing, or sharing any information obtained through reverse engineering.

Any attempt to reverse engineer or access the source code shall constitute a material breach of these Terms and may violate applicable copyright and trade secret laws. We reserve the right to pursue all available legal remedies, including injunctive relief and damages.

14. Disclaimers

• The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant that the Service will be uninterrupted, error-free, or secure.
• We do not endorse, verify, or guarantee the accuracy of any User Content, including business listings, product listings, job postings, or user profiles.
• We are not a party to any transactions between users and are not responsible for the quality, safety, or legality of products, services, or job opportunities listed on the platform.
• Any interactions, transactions, or disputes between users are solely between those users.

15. Limitation of Liability

To the maximum extent permitted by applicable law, JamiiFlow and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from or related to the Service shall not exceed the amount you have paid to JamiiFlow in the twelve (12) months preceding the claim.

16. Indemnification

You agree to indemnify, defend, and hold harmless JamiiFlow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Kenya.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
